Regulation CF Settings

This section provides information on how to configure your offering's settings after creation. Please note: any changes made are not saved automatically and can only be saved by clicking on the button labeled "Update Offering".

Configuring Offering Settings

Navigate to the

Click "Offerings"

Find the offering in question and click "Offering Settings"

Details

Details - General Offering Settings

Please note that General Offering Settings are not saved automatically. You must click the button labeled "Update Offering" to save them to your offering.

Name

Type the name of the offering.

Description: This field is a short descriptive name of the offering, such as the name of the company and the type of offering. It will serve as the title of the offering.

Example: Demo Company, LLC Reg CF

Support Email

Type the support email for this offering.

Description: This is an email address investors can contact with questions about the offering, the company, the business model, the founding team, etc. Typically this either will put investors in touch with an executive (for a smaller offering) or with a dedicated investor support resource (for a larger offering with higher volume of inquiries) that the issuer employs.

Example: offeringsupport@democompany.com

Default Timezone

This is the timezone for emails official document signatures.

Description: This timezone will be used to denote when documents related to this offering are signed.

Example: US/Eastern

Optional Landing Page URL

This is the landing page URL for your company's website.

Description: This will be used as a link to your company's website. It must begin with either http:// or https://

Example: https://democompany.com

Details - Securities Settings

Please note that Securities Settings are not saved automatically. You must click the button labeled "Update Offering" to save them to your offering.

Offering Type

This is a list of offering types available to for creation. For Regulation CF Offerings, select "Reg CF" from the dropdown menu.

Security Type

Type the security type of the offering.

Description: Type of securities (e.g. Class A Shares, Class B Non-Voting, etc.). This is displayed on email receipts.

Example: Class A Shares

Optional Minimum investment amount

Type minimum investment amount for this offering.

Description: The minimum currency amount that can be invested in a single investment.

Example: $15000

Minimum Amount Raised for Escrow Closing

This is the minimum amount to be raised before escrow can be closed.

Description: This is the minimum amount of capital to be raised before your escrow account can be closed. This is the same amount that you have on your SEC filings related to this offering.

Example: $500,000

Optional Maximum Amount To Be Raised

This is the maximum amount to be raised for this offering.

Description: This is the cap on the amount to be raised in this offering. When this cap is met no additional investments can be made in this offering.

Example: $3,000,000

Details - Adv. Securities Settings

Please note that Adv. Securities Settings are not saved automatically. You must click the button labeled "Update Offering" to save them to your offering.

Optional Administrative fees paid by

Select either Investor or Issuer.

Description: This designates which party will pay the administrative fees for an investment made through the Issuance platform. You can change this at any time in offering settings. Changes will only affect new investments.

Example: Investor

Optional Number of shares

Type the number of shares or units in the offering.

Description: The amount of shares or units in the offering. Once this amount has been reached no additional investments will be able to be made.

Example: 20000000

Optional Maximum investment amount

Type the investment maximum amount for this offering.

Description: The maximum currency amount that can be invested in a single investment

Example: $10000000

Optional Investment Increment amount

Type in the investment increment amount for this offering

Description: This sets an increment so that only multiples of the increment are accepted as investment sizes. For example a $100 increment amuont and a $300 minimum investment amount allows investments of $300, $400, $500 and so on.

Example: $100

Details - Signature Settings

Please note that Signature Settings are not saved automatically. You must click the button labeled "Update Offering" to save them to your offering.

Signature Settings

This section allows you to enter Signature information. Once you are finished, click "Continue" to proceed.

Signing Full Name

Type the signing name for the subscription agreement of this offering.

Description: This is the full name signed on the subscription agreement. Typically this is the company's CEO or CFO.

Example: Demo User

Signing Title

Type in the title of the person signing the subscription agreement for this offering.

Description: The title of the company's representative signing the agreement. It is signed on the subcscription agreement.

Example: CEO

Optional Signing Email

Type the email of the person signing the subscription agreement for this offering.

Description: The email of the company's representative signing the agreement. It is signed on the subscription agreement.

Example: demouser@democompany.com

Details - Investor UI Settings

Please note that Investor UI settings are not saved automatically. You must click the button labeled "Update Offering" to save them to your offering.

Investment Size Suggestions

These buttons will be displayed to investors during the investment flow as suggested shares amount to choose from.

Description: Buttons suggesting investors purchase a certain amount of shares that will appear to investors when they are investing in this offering. Please note that suggestion amounts are in shares and the value (share price multiplied by amount of shares) of all suggested share amounts must be greater than the minimum investment amount.

Example: 1st Button: 5 2nd Button: 10 3rd Button: 15

Minimum wire transfer amount

Type in the minimum wire transfer amount

Description: The minimum investment necessary for a single investor to make an investment using a wire transfer. The minimum amount allowed on the Issuance platform is $5,000.

Example: $5000

Display Offering Document Link

When enabled, investors will be displayed a link to your 'offering circular' document on the "New account agreements" page.

Description: This allows investors to click on a link on the "New account agreements" page that will take them to the 'offering circular' for this offering

Example: Enabled

Tip: There are two ways to provide access to the circular document. The first is to provide a link to the webpage where the circular document is hosted. The second is to upload the circular document for Issuance to host.

Offering Document Type

Select the correct label for your circular document.

Description: This is the labeling of the circular document to be displayed to investors.

Offering Circular Link

Type the address to the webpage where the circular document is hosted.

Description: A link potential investors can navigate to that will provide them access to this offering's circular document. You have the option to upload your own below. If you upload a document, it will be shown instead of the link.

Example: https://DemoCompany.com/Reg-D-506-c-Offering-Circular.pdf

Offering Circular Document

Select and upload the circular document. Alternatively, drag and drop this offering's circular document into the area with a dashed border.

Description: This is a file upload section where you can upload this offering's circular document for Issuance to host. It accepts the .pdf file type. If you upload a document any link in the "Offering Circular Link" field above will not be used.

Optional Other platform investment notice

When enabled, this will display the Custom Investor Dashboard Note notice that is below. This notice is displayed to investors on the investor dashboard.

Optional Custom Investor Dashboard Note

If Other platform investment notice is enabled, this note will be displayed. This note is to alert investors that investments made through other platforms or in different accounts will not be displayed on the dashboard for the account they are currently logged in as.

Optional Require Phone Number

When enabled, investors will be required to provide their phone number before investing. This is optional by default.

Require User Data at account creation

When enabled, investors will be required to provide their full name when creating an account when accessing the offering via the Offering Slug URL.

If “Require Phone Number” is enabled, investors will also be required to provide their phone number when creating an account.

Optional Require ID Upload

When enabled, investors will be required to upload a photo of their ID when making an investment. Please note: only Issuance staff can disable this feature

Optional Who is required to upload ID?

When Require ID Upload is enabled, you can select from which region investors are required to upload their ID.

Investor Regions

This enables you to restrict from which regions legal persons can invest in your offering.

Details - Branding

Please note that Branding settings are not saved automatically. You must click the button labeled "Update Offering" to save them to your offering.

Optional Accent Color

Enter in the Accent Color for this offering.

Description: This color will be used for buttons and large graphical elements. It is in hexademical format.

Example: #212529

Optional Accent Color Contrast

Enter in the Accent Color Contrast for this offering.

Description: This the color of text displayed in this offering. It is in hexademical format. Note, in most cases, you should use the same values for Accent Contrast Color and Secondary Contrast Color.

Example: #E5E7EB

Optional Secondary Color Contrast

Enter in the Secondary Color Contrast for this offering.

Description: This color will be used for small graphical elements. It is in hexademical format. Note, in most cases, you should use the same values for Accent Contrast Color and Secondary Contrast Color.

Example: #6B7280

Optional Logo

Select and upload a file of the company's logo Alternatively, drag and drop a file of the logo into the area with a dashed border.

Description: This is a file upload section where you can upload the company's logo to be displayed to investors. It accepts .png, .jpg, and .gif file types.

Optional Favicon

Select and upload a file of the company's favicon. Alternatively, drag and drop a file of the favicon into the area with a dashed border.

Description: This is a file upload section where you can upload the company's favicon to be displayed to investors on capable web-browsers. It accepts the .ico file type.

Details - Communications Management

Please note that Communications Management settings are not saved automatically. You must click the button labeled "Update Offering" to save them to your offering.

Optional High value investment email

When enabled, investments over a certain threshold will be sent a different email template for the investment confirmation email and marked 'high value' for CRM integrations.

Optional High value email threshold

This threshold is used to trigger High value investment emails.

Description: This is the threshold, in dollars, for high value emails. It is $10,000 by default.

Example: $10,000

Optional Details - Test the Waters

Test the Waters is a feature that allows investors who are ineligible to invest in a Reg D 506(c) offering to indicate their willingness to invest in a future offering which they would be eligible for.

When this is enabled, ineligible investors will be directed to the Test the Waters page where they can indicate how much they would be willing to invest.

Optional Suggestions for test the waters

These buttons will be displayed for an investor to click on to indicate their how much they would be willing to invest.

Example: 1st Button: $2,500 2nd Button: $7,500 3rd Button: $15,000

Subscription Agreements

To edit or add a subscription agreement, please reach out to your Issuance Operations contact.

Email Notifications

Please note: Email Notifications are not saved automatically. You must click the button labeled "Save Settings" to save them to your offering.

To configure performance report and investment notification emails to be sent out automatically, click on "Email Notifications".

Here you can add emails to all you wish to receive performance reports on a daily and weekly basis. You can also set the emails of those who you wish to receive notifications on all new investments.

Performance Reports

This enables daily performance reports to be sent out to all emails that are listed below.

Type in the email(s) you wish to receive daily performance reports. For multiple emails, separate them with a comma and a space.

Example: demouser1@democompany.com, demouser2@democompany.com, demouser3@democompany.com

Weekly Reports

This enables weekly performance reports to be sent out to all emails that are listed below.

Type in the email(s) you wish to receive weekly performance reports. For multiple emails, separate them with a comma and a space.

Example: demouser1@democompany.com, demouser2@democompany.com, demouser3@democompany.com

Investment Emails

This enables email alerts for when an investment action is undertaken to be sent out to all emails that are listed below.

Type in the email(s) you wish to receive these alerts. For multiple emails, separate them with a comma and a space

Example: demouser1@democompany.com, demouser2@democompany.com, demouser3@democompany.com

New Completed Investment emails

This enables email alerts for when a new investment is completed to be sent out to all emails that are listed below.

Type in the email(s) you wish to receive these alerts. For multiple emails, separate them with a comma and a space

Example: demouser1@democompany.com, demouser2@democompany.com, demouser3@democompany.com

New Account Emails

This enables email alerts for when a new account is created through your Offering Slug (URL) to be sent out to all emails that are listed below.

Type in the email(s) you wish to receive these alerts. For multiple emails, separate them with a comma and a space

Example: demouser1@democompany.com, demouser2@democompany.com, demouser3@democompany.com

User Max Monitoring Email

This enables email alerts for when users receive the maximum number of emails for a given eventto be sent out to all emails that are listed below.

Type in the email(s) you wish to receive these alerts. For multiple emails, separate them with a comma and a space

Example: demouser1@democompany.com, demouser2@democompany.com, demouser3@democompany.com
